              DWF assists Enfinity in the sale of 4 photovoltaic plants to Obton

              DWF Italy has assisted Enfinity NV, a leading international operator in the photovoltaic sector, with respect to the sale of a portfolio of photovoltaic systems to Obton, the Danish primary investment fund involved in sustainable technology investments. Orrick provided legal assistance to Obton in the matter.

              In terms of the structure of the deal, the acquisition involved four project companies, who together own 13 operational photovoltaic plants in Puglia and Sardinia, with a total capacity of around 15 MWp. A number of banks were involved in the financing of the deal (BPER, Banca IFIS and UniCredit), all of whom consented to the change of control.

              The DWF team was led by Matteo Polli (Counsel) and Eleonora degli Abbati (Senior Associate), with coordination for the matter being provided by Michele Cicchetti and Guglielmo Fabbricatore (responsible for the energy department at DWF).

              Orrick assisted Obton with a team led by Carlo Montella, Vice Business Unit Leader in the Global Energy and Infrastructure practice, as well as Special Counsel Celeste Mellone, who also oversaw the administrative and due diligence aspects of the transaction. Associates Jacopo Giansante assisted in the transactional profiles and Ignazio D'Andria provided support regarding the necessary financial documentation.
